As an App accountholder, you are subject to Metahuman’s Terms and Conditions and Metahuman’s Privacy Policy (both available on our website located at https://app.humanprotocol.org). If you would like to receive HMT rewards, your receipt of HMT rewards will also be subject to the following Reward Terms & Conditions. All capitalized terms used but not defined herein shall have the respective meaning given to them in Metahuman’s Terms of Service.
Eligibility. In order to qualify for HMT awards through your use and interaction with the App, you must successfully complete any data-labelling task (a [“Test Job”]). Upon successfully solving a [Test Job], you will be entitled to receive a predetermined amount of HMT. Eligibility for each HMT reward is limited to App accountholders who we, in our sole discretion, reasonably believe are continuously using the App in good faith for its intended purposes from on or around the time of account creation until at least ninety (90) days following when the App accountholder is entitled to receive a HMT reward (each, an “Active User”).
Referral Program
Qualified Referral. A “Qualified Referral” occurs when:
(i) an Active User (a “Referrer”) seeking to receive HMT rewards from their referral of potential App users (each, a “Referred User”) (the “Referral Program”) enters their email address on https://app.humanprotocol.org/ (the “Referral Website”);
(ii) a Referrer shares the referral code generated by the Referral Website with a Referred User (e.g., by sharing the Referred User’s email address on the Referral Site, or sharing the URL directly via Twitter, Facebook, Messenger, or WhatsApp); and
(iii) the Referred User enters the referral code generated in step (ii), creates an App account and solves the [Test Job], and becomes an Active User.
Rewards for Qualified Referrals. Once a Qualified Referral occurs, the Referrer will receive HMT Rewards per Qualified Referral delivered to the digital asset wallet associated with Referrer’s account. This reward program is only available for a limited amount of time and can be amended and/or cancelled by Metahuman at any time. There is a limit of 100 Qualified Referrals that may be associated with a Referrer.
Note that for a Qualified Referral to be valid, the Referred User and the Referrer cannot be the same person (for example, by using a different email address). The Qualified Referral will be associated with the Referrer who provided the referral code used by the Referred User.
No Spam. As a Referrer, you must comply with all current “SPAM” laws in your jurisdiction and the jurisdiction of Referred Users you refer. For example, if emails must be created and distributed in a personal manner, the use of bulk email distribution is strongly discouraged. Any distribution of your referral code on websites or platforms created to take advantage of referral traffic generated from individuals, or otherwise in a way that could constitute unsolicited commercial email or "spam" under any applicable law or regulation is expressly prohibited. If we, in our sole discretion, believe that you are distributing your referral code, we have the right to terminate your account or prohibit you from further participation in the Referral Program.
HMT Reward Recipient Obligations
No Speculation. You may not use HMT for capital raising purposes (“Capital Raising”). Capital Raising is defined as receiving funds from the sale of HMT, where the primary purpose of sale of HMT is to raise capital for you or another party and not to obtain Services within the Human Protocol or App; you acknowledge that any HMT you receive is solely for use within the Human Protocol or App and not for speculative purposes.
Active User Representations. As a Referrer or a Referred User, you represent, warrant, and certify, as applicable, the following in connection with your participation in the Referral Program and receipt of HMT:
o You are not a U.S. Person as defined in Rule 902(k) of Regulation S (“Regulation S”) under the U.S. Securities Act of 1933, as amended (the “Securities Act”) and you are not acquiring HMT for the account or benefit of any U.S. Person.
o You will not, (a) during the restricted period that is applicable to the HMT set forth in the legend below (the “Restricted Period”) and in relation to any certificate representing the HMT, offer or sell any HMT (or create or maintain any derivative position equivalent thereto) in the United States, to or for the account or benefit of a U.S. Person or other than in accordance with Regulation S, or (b) engage in hedging transactions with regard to the HMT prior to the expiration of the Restricted Period.
o You may, after the expiration of the applicable Restricted Period, offer, sell, pledge or otherwise transfer the HMT (or create or maintain any derivative position equivalent thereto) only pursuant to registration under the Securities Act or any available exemption therefrom and, in any case, in accordance with applicable state securities laws.
o You acknowledge and agree that the HMT will be deemed to bear the legend set forth below:
▪ TO THE EXTENT APPLICABLE, THE HMT HAVE NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED (THE “ACT”) WITH THE UNITED STATES SECURITIES AND EXCHANGE COMMISSION, AND THE FOUNDATION DOES NOT INTEND TO REGISTER THEM. PRIOR TO THE ONE YEAR ANNIVERSARY OF THE DELIVERY DATE (THE “ONE-YEAR DEADLINE”), THE HMT MAY NOT BE OFFERED OR SOLD (INCLUDING OPENING A SHORT POSITION IN SUCH HMT) IN THE UNITED STATES OR TO U.S. PERSONS AS DEFINED BY RULE 902(k) ADOPTED UNDER THE ACT, OTHER THAN TO DISTRIBUTORS, UNLESS THE HMT ARE REGISTERED UNDER THE ACT, OR AN EXEMPTION FROM THE REGISTRATION REQUIREMENTS OF THE ACT IS AVAILABLE. PURCHASERS OF HMT PRIOR TO THE ONE- YEAR DEADLINE, MAY RESELL SUCH HMT ONLY PURSUANT TO AN EXEMPTION FROM REGISTRATION UNDER THE ACT OR OTHERWISE IN ACCORDANCE WITH THE PROVISIONS OF REGULATION S OF THE ACT, OR IN TRANSACTIONS EFFECTED OUTSIDE OF THE UNITED STATES PROVIDED THEY DO NOT SOLICIT (AND NO ONE ACTING ON THEIR BEHALF SOLICITS) PURCHASERS IN THE UNITED STATES OR OTHERWISE ENGAGE(S) IN SELLING EFFORTS IN THE UNITED STATES AND PROVIDED THAT HEDGING TRANSACTIONS INVOLVING THESE HMT MAY NOT BE CONDUCTED UNLESS IN COMPLIANCE WITH THE ACT. A HOLDER OF THE HMT WHO IS A DISTRIBUTOR, DEALER, SUB UNDERWRITER OR OTHER SECURITIES PROFESSIONAL, IN ADDITION, CANNOT PRIOR TO THE ONE-YEAR DEADLINE, RESELL THE HMT TO A U.S. PERSON AS DEFINED BY RULE 902(k) OFREGULATION S UNLESS THE HMT ARE REGISTERED UNDER THE ACT OR AN EXEMPTION FROM REGISTRATION UNDER THE ACT IS AVAILABLE.
o You will not offer, sell or distribute HMT to any citizen or resident of any jurisdiction designated by the U.S. Secretary of State as a country supporting international terrorism, or to which U.S. nationals cannot lawfully engage in transactions as designated by the Office of Foreign Assets Control.
o You represent and warrant that (i) neither you nor the Referred User are located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist-supporting country; and (ii) neither you nor the Referred User are not listed on any U.S. Government list of prohibited or restricted parties. You also represent and warrant that neither you nor the Referred User are sanctioned by the United Nations or by the United Kingdom, and neither you nor the Referred User are a citizen or resident of any country or territory sanctioned by the United Nations or by the United Kingdom.
o You will comply with our Privacy Policy and with all Data Protection Laws. For the purposes of this paragraph, "Data Protection Laws" means any data protection law applicable in the jurisdiction of any party to this Agreement (including but not limited to the Data Protection Act (as amended) of the Cayman Islands, as well as all applicable statutes and regulations in any jurisdiction pertaining to the processing of personal data, including the privacy and security of personal data.
Metahuman’s Right to Close Accounts and Recover HMT. Metahuman reserves the right to close the account(s) and recover all HMT in such accounts (or the value thereof) of any Active User, Referrer, Referred User or any other holder of HMT if such person attempts to use the HMT Rewards or Referral Program in an inappropriate manner, as determined by Metahuman in its sole discretion, or breaches any of the Terms of Use or these Reward terms and conditions, or is in violation of any law, statute or governmental regulation.
Right to Cancel Reward and Referral Programs or Change Terms. Metahuman reserves the right to cancel any HMT reward program or the Referral Program or to change the terms these Reward Terms and Conditions at any time in its sole discretion, without advance notice. By continuing to participate in any Reward or Referral Program, you agree to the revised Reward Terms and Conditions.
